Consumer M&A: Portfolio Pruning, Functional Beverages and the Premium for Relevance

Premium bottles on black marble

Consumer deal-making hit its highest first-quarter level in nearly five years, and the pattern behind the volume is unmistakable: strategics are pruning portfolios and concentrating capital where consumers are actually heading. Puratos agreed to acquire Dawn Foods, consolidating the professional bakery world; Molson Coors closed its acquisition of Atomic Brands to push deeper into ready-to-drink cocktails; Morinaga agreed to buy My/Mochi to own a fast-growing frozen-snack niche in the US.

Where the valuation momentum is

The strongest pricing sits in energy, hydration and functional non-alcoholic beverages, RTD alcohol, and better-for-you branded foods - categories riding health, performance and premiumisation. E-commerce continued its recovery as one of the fastest-growing discretionary deal categories. On the other side of the ledger, legacy centre-of-store brands and undifferentiated private-label suppliers face structurally lower multiples, and the gap is widening.

A caution from the consumer, not the CFO

One data point worth every consumer owner's attention: roughly 60% of US consumers now say "AI" in brand messaging is a turn-off. In a sector where authenticity drives loyalty, technology belongs in the supply chain and the margin structure - not necessarily on the label. Buyers have noticed; brand-equity diligence increasingly probes how durable the customer relationship is once marketing spend normalises.

What buyers underwrite in 2026

  • Category momentum - is the segment growing without you having to buy the growth?
  • Repeat-purchase economics - subscription, replenishment or genuine habit, measured, not asserted.
  • Channel balance - resilient brands sell where their consumers shop: retail, DTC and marketplaces in defensible proportion.

For founder-owned brands in favoured categories, the current market offers a genuine choice of buyers - strategic acquirers filling portfolio gaps and sponsors building platforms. Choice is leverage; leverage is price.

"In consumer, the multiple is a measure of relevance. Buyers pay for the categories consumers are moving toward, and discount everything else."
