Healthcare's Deal Surge: $106 Billion by June and a Medtech Reshaping

Surgical instruments on black stone

Healthcare is running the strongest deal market since 2019. Biopharma M&A passed $106 billion by early June and is tracking toward $250 billion for the year; one late-March stretch produced seven billion-dollar-plus deals in twelve days. Medtech added $36.5 billion in the first half. The headlines are familiar by now - Abbott's $21 billion acquisition of Exact Sciences, Boston Scientific's $14.5 billion agreement for Penumbra, Danaher's $9.9 billion all-cash offer for Masimo, and the $18.3 billion take-private of Hologic by Blackstone and TPG.

Portfolio reshaping, not empire building

What distinguishes this cycle is discipline. Large strategics are simultaneously divesting non-core units and paying premiums in chosen categories - cardiovascular, neurostimulation, connected devices, patient monitoring and workflow software. That divest-and-double-down pattern creates two distinct mid-market opportunities: carve-out acquisitions for ambitious buyers, and strategic exits at category-leader prices for focused sellers.

The middle market is private equity's territory

In healthcare services, private equity now accounts for more than 40% of middle-market deal volume, executing platform-and-add-on strategies across care services, pharma services and healthcare IT. First-quarter services deal value reached roughly $18 billion. For founder-owned clinics groups, CDMOs and service providers, this means the most probable buyer is a sponsor-backed platform with a build thesis - a buyer type that values integration readiness as highly as EBITDA.

Valuation implications

  • Segment beats size. A €30 million monitoring-technology business in a favoured category can outprice a €100 million generalist.
  • Regulatory readiness is priced. Clean quality systems and audit history remove the discount buyers otherwise apply reflexively.
  • Reimbursement clarity de-risks the model. Buyers pay for revenue whose payer logic they can underwrite.

Sellers entering this market meet sophisticated, well-capitalised buyers with clear theses. The preparation standard has risen accordingly - and so have the rewards for meeting it.

"Healthcare buyers are not buying revenue this year. They are buying category leadership in the segments they have decided to own."
